Supervise the policies of the Executive Board and the general affairs of the company and its enterprise, taking into account the relevant interests of the company's stakeholders and to advise the Executive Board.

- Ensuring efficient operation of the Board of Directors and Committees; - enforcing agencies and officials of the Company of the Republic of Kazakhstan with legislation in the sphere of Corporate Governance, Charter, Corporate Governance Code and other internal documents of the Company in terms of Corporate - implementation of measures to prepare the decisions of the Sole Shareholder in accordance with the laws of the Republic of Kazakhstan, the Charter and other internal documents of the Company; - Provision of storage and disclosure of material information about the Company, as well as maintaining a high level of information transparency within the competence of the Service; - Provision a clear and effective communication between the Company and the Sole Shareholder, as well as between the bodies of the Company; - Implementing the activities (within the competence), aimed at improving corporate governance in the Company. - Regulation of the conflicts of interest - Supervision of subsidiaries corporate secretaries and Corporate governance system - Preparation to IPO Projects: - Development of corporate governance rules - Development of the Board of Directors instruction program - Development of Material preparation rules for the BoD and its committees - Development of the Regulations on interaction with subsidiaries - Development of the self-assessment of the Board of Directors instruction

- Interaction with project teams on legal issues related to the implementation of investment projects. - Corporate law and M&A - Legal support of internal activities - Contract law - Claim work - Representation of company interests in courts - Interactions and negotiations with state authorities

- Legal department management - Corporate law and M&A - Legal support of internal activities - Contract law - Claim work - Representation of company interests in court - Interactions and negotiations with state authorities - Licensing and permission regulatory work

- Management of the legal team -Work related with subsurface users licences, contracts; - Corporate matters related work; - Communication with state bodies, companies etc. - Preparation of contracts and other legal documents. - Representation of the company in the court hearings

- Drafting tax and legal advices for clients; - Provision of tax review and compliance services; - Provision of the tax and legal due diligence; - Preparation of memorandums in the area of International Private Law, Tax Law, Intellectual Property Law, Cybersecurity, Corporate and Labour Law; - Preparation and participation in appeals of tax inspection results to tax authorities and courts (Preparation of draft claims, appeals and etc.); - Assistance with tax refunds from state budget; - Communication with wide range of state, private companies and state authorities on client matters; - AIFC regulation. Projects: - registration, liquidation, change of head of the Branch to large international transportation company; - tax and legal due diligence of huge oil & gas and transportation companies; - Preparation of legal memorandum on Intellectual Property rights matter to huge oil & gas service company; - Preparation of conclusion of investment contract to international medical company; - Involvement in tax review of large international oil & gas companies; - Participation in refund of taxes to large oil company project; - Assistance in appeal of tax penalty assessment to Japanese oil & gas service company; - Preparation of tax and legal reports to large oil & gas companies.
