- Provision of assistance, support and advice on all legal matters within scope of legal specialty in compliance with applicable statutes, rules and regulations while minimizing liability and highlighting risks; - Provision of assistance and support in M&A transactions; - Review, negotiating and drafting all contracts, memoranda, term sheets etc. - Counsel management on the interpretation and application of contractual and statutory provisions to implement legal contracts; - Assistance in the preparation of cases and practices to defend the company before judicial administration and governmental authorities in litigation matters; - Responding to queries or requests from government entities; - Organization of the registration and/or the renewal of all licenses & permits; - Recommendation of improvements to departmental policy and direct the implementation of procedures and controls covering all areas of business activity to minimize legal and regulatory risks; - Development and review of all legal documents drafted by, or sent to, the company; - Development and review of corporate documents, resolutions, charters, polices, regulations etc.; - Setting guidelines for non-binding agreements such as MOUs; - Development/review of strategic contracts and standard legal contracts such as but not limited to employment contracts, licenses, consultancy agreements, etc.; - Handling the contract breach and termination process for breaches of company’s 3rd party contractors and proposing mitigation plans; - Provision of input to legal and regulatory risk mitigation strategies; - Monitoring compliance with laws and regulations and detection of illegal activities to prevent risks by imposing sanctions on violators; - Representation of the company's interests in legal proceedings; - Permanent tracking of changes of the legislation of the Republic of Kazakhstan related to the company's activity; - Legal translation of the documentation into Kazakh, Russian, English languages.

• Preparation of legal advice on various issues concerning corporate legislation, customs, litigation, labour, sub-soil use, antimonopoly, IP and other fields as well as preparation of articles and overviews on legal issues; • Preparation of legal memoranda, legal opinions, letter of advice, complaints, court motions, letters, contracts, annexes, reports, notes to Clients and other documents; • Participation in structuring of M&A transactions, provision of support in reorganisation of legal entities, assisting Clients in transaction approval with the antimonopoly authority; • Monitoring legislation and informing the relevant business partners on respective changes; • Ad-hoc assistance with on-going tasks and projects; • Advising clients on dispute resolution and other legal issues concerning lodging appeals against decisions of state authorities; • Coaching and supervising junior lawyers and interns; • Legal researching into legal acts, relevant judicial practice, responses from state authorities and other information; • Drafting articles for different journals and magazines, legislative alerts, brochures, legal questionnaires, presentations, client proposals other documents; • Interacting with state authorities (labor inspection, shares registration office, customs, tax and others); • Translation of legal acts, contracts, other documents into Kazakh, Russian and English and vice versa.
